PlantFrame Terms of Use and SaaS User Agreement

1. Introduction
Welcome to PlantFrame.
PlantFrame is a software-as-a-service platform designed for garden designers, landscape designers, horticultural designers and related design professionals. PlantFrame helps users manage garden design project workflows, including client intake, questionnaires, project notes, site information, plant and material records, visual boards, Concept Visualisations, documents, selections, approvals and client-facing project pages.
These Terms of Use and SaaS User Agreement govern your access to and use of PlantFrame, including our website, web application, progressive web app, client portal, browser extension, AI-assisted features, beta features, subscription services, documentation and any related services we provide.
By creating an account, accessing PlantFrame, using the platform, accepting an invitation, subscribing to a plan or otherwise using our services, you agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use PlantFrame.
2. Important notice
PlantFrame is a workflow and presentation tool. It is not a substitute for your own professional judgement, design expertise, client instructions, site assessment, legal obligations, construction documentation, horticultural advice, botanical verification, engineering advice, planning advice, building advice, compliance advice or other professional services.
You remain responsible for all design decisions, client communications, plant selections, material selections, project documentation, specifications, approvals, installation instructions, construction decisions and professional advice provided to your clients or third parties.
PlantFrame may include AI-assisted tools, visualisation tools and automated suggestions. These outputs are assistive only and may be incomplete, inaccurate, unsuitable, misleading or inappropriate for a particular site, climate, client, project, jurisdiction or use case. You must review, verify and adapt all outputs before relying on them or sharing them with a client or third party.
3. Parties
In these Terms:
PlantFrame, we, us or our means [insert legal entity name] trading as PlantFrame.
You means the person accessing or using PlantFrame.
If you access PlantFrame on behalf of a business, studio, company, partnership, trust or other organisation, you also means that organisation, and you represent that you have authority to accept these Terms on its behalf.
4. Related documents
These Terms should be read together with:
our Privacy Policy;
any Beta Tester Agreement or early access agreement that applies to you;
any plan, pricing, billing or subscription terms shown at checkout or in your account;
any acceptable use rules, help documentation, product notices or feature-specific terms made available within PlantFrame;
any additional written agreement we enter into with you.
If there is an inconsistency between these Terms and a separate signed agreement between you and PlantFrame, the signed agreement will prevail to the extent of the inconsistency.
If there is an inconsistency between these Terms and a Beta Tester Agreement that applies to you, the Beta Tester Agreement will apply to your beta access to the extent of the inconsistency.
5. Definitions
In these Terms:
Account means a PlantFrame user account.
AI Assists means any PlantFrame feature that uses artificial intelligence, machine learning, automation, image analysis, language models or similar technology to generate, transform, summarise, classify, suggest, draft, visualise or analyse content.
Beta Features means features, workflows, tools, pages, integrations, interfaces or services that are described as beta, trial, early access, preview, experimental, pilot, in testing, unreleased or similar.
Client Portal means any PlantFrame client-facing project area, private project website, portal page, questionnaire, approval area, document review area, project page, visual page or other interface made available to a Client Portal User.
Client Portal User means an invited client, homeowner, property owner, collaborator or other third party who is given limited access to a project through the Client Portal.
Concept Visualisations means AI-assisted or manually assembled visual outputs, including planting visualisations, design visualisations, photo edits, visual concepts, mood imagery, project-informed images, seasonal visualisations or similar outputs created in or through PlantFrame.
Design Boards or Design Canvas means PlantFrame’s visual board tools for arranging or presenting project content, including plants, materials, inspiration, site photos, zones, notes, text and images.
Fees means subscription fees, usage fees, add-on fees, seat fees, AI usage fees, overage fees, taxes and any other amounts payable for access to or use of PlantFrame.
Intellectual Property Rights means copyright, trade marks, service marks, business names, designs, patents, confidential information, trade secrets, domain names, know-how, database rights and all other intellectual property rights, whether registered or unregistered.
Plan means the subscription tier, beta access level, trial, free access, founder access, Studio plan, Pro plan or other access arrangement made available by PlantFrame.
Project Content means content, data, materials, files, images, documents, notes, prompts, transcripts, audio, visual references, plant records, material records, supplier records, client details, questionnaires, uploaded files, selected items, approvals, comments, project information and other material uploaded to, entered into, generated in, clipped to, stored in or processed through PlantFrame.
Services means PlantFrame’s website, web application, client portal, browser extension, AI Assists, Design Boards, Concept Visualisations, documentation, beta features, subscription services and related services.
Studio or Workspace means a PlantFrame workspace associated with a garden design business, studio, designer or related organisation.
Team Member means a staff member, contractor, assistant, collaborator or other person invited to access a Studio or Workspace as a user.
User Content means all Project Content and any other material you or your authorised users upload to, enter into, generate in, clip to, store in, submit to or process through PlantFrame.
Website means the PlantFrame public website and any related pages controlled by PlantFrame.
6. Eligibility
You must be at least 18 years old to create a PlantFrame Account.
You must not access or use PlantFrame if:
you are legally prohibited from doing so;
we have suspended or terminated your access;
you are attempting to access PlantFrame using false, misleading or unauthorised details;
you are attempting to bypass beta, subscription, workspace, seat, client portal or access restrictions;
your use would breach these Terms or any applicable law.
PlantFrame is primarily intended for professional and business use by garden designers, landscape designers and related professionals. Some parts of PlantFrame may also be used by invited Client Portal Users for the limited purpose of participating in a project.
7. Account registration
To use PlantFrame, you may need to create an Account or accept an invitation.
You agree to provide accurate, current and complete information when creating an Account or accepting an invitation. You must keep your Account information up to date.
You are responsible for all activity that occurs under your Account, except to the extent caused by PlantFrame’s breach of these Terms, negligence or unlawful conduct.
You must keep your login details secure and confidential. You must notify us promptly if you suspect unauthorised access to your Account, Workspace, Client Portal, project data or any other part of PlantFrame.
8. Roles and access types
PlantFrame may support different access roles, including Workspace Owners, Team Members, Client Portal Users, beta users, platform administrators and support users.
8.1 Workspace Owners
A Workspace Owner is responsible for the Studio or Workspace, including:
managing subscription and billing details;
managing Team Members;
managing project data;
managing client access;
ensuring that all authorised users comply with these Terms;
ensuring that content shared through PlantFrame is appropriate, accurate and lawful;
ensuring that the Workspace has sufficient seats, plan access and permissions for its intended use.
8.2 Team Members
Team Members may only access PlantFrame if invited or authorised by a Workspace Owner and if the relevant Plan permits team access.
Each Team Member must have their own Account unless PlantFrame expressly permits another arrangement in writing.
A Workspace Owner is responsible for the acts and omissions of Team Members using the Workspace.
8.3 Client Portal Users
Client Portal Users have limited, project-scoped access only.
A Client Portal User is not a Workspace Owner, Team Member, studio user, subscriber or internal workspace user unless separately invited and authorised in that capacity.
Client Portal Users may be able to view, complete, upload, comment on, approve, request changes to or otherwise interact with project information made available to them through the Client Portal.
Client Portal Users must only access the project or portal areas they have been invited to access. They must not attempt to access any studio workspace, administrative area, unrelated project, other client’s project or restricted feature.
8.4 Platform administrators and support access
PlantFrame personnel or authorised service providers may access limited account, workspace, project, diagnostic, security or support information where reasonably necessary to:
provide support;
investigate faults or errors;
maintain, secure or improve the Services;
investigate suspected misuse, security incidents, unauthorised access or breaches of these Terms;
comply with law;
manage billing, subscription, beta access or account administration.
Any such access is subject to our Privacy Policy and internal access controls.
9. No shared logins or seat circumvention
You must not share, sell, transfer, lend, pool or otherwise make your login details available to another person.
Each person who requires internal access to a Studio or Workspace must have their own Account and, where applicable, their own seat under the relevant Plan.
You must not use shared logins, generic accounts, rotating users, device sharing, password sharing or other arrangements to avoid seat limits, Plan limits, beta restrictions, access controls or billing requirements.
If we reasonably suspect login sharing, seat circumvention, unauthorised access, abnormal concurrent use or misuse of access rights, we may require you to upgrade your Plan, purchase additional seats, verify users, reset login details, restrict access, suspend access or take other reasonable steps to protect the Services and enforce these Terms.
10. Subscription plans and access limits
PlantFrame may offer different Plans, including free trials, beta access, founder access, Studio plans, Pro plans, annual plans, monthly plans and other paid or promotional access arrangements.
Your access to features, active project limits, seats, AI Assists, Concept Visualisations, Design Boards, client-facing outputs, storage, support, branding options and other functionality may depend on your Plan.
PlantFrame may enforce Plan limits technically or administratively. If you exceed your Plan limits, we may restrict access to certain features, require you to archive projects, require you to upgrade your Plan, charge applicable overage fees where disclosed, or take other reasonable steps consistent with your Plan.
Plan features and limits will be displayed on our Website, in the application, at checkout or in your account. We may update Plan names, inclusions, limits and pricing from time to time in accordance with these Terms.
Unless expressly stated otherwise, a subscription does not guarantee access to future features, beta features, unreleased features, custom development, integrations, one-on-one training or professional services.
11. Trials, beta access and early access
PlantFrame may offer trials, beta access, early access, founder access or other limited access arrangements.
We may accept, reject, limit, suspend, revoke or end beta or early access at our discretion, subject to applicable law.
Beta access may be personal to the approved tester or approved workspace. Unless PlantFrame expressly agrees otherwise in writing, beta access must not be shared with staff, contractors, collaborators, clients, other designers, agencies, businesses or third parties.
Team-member beta testing is not permitted unless PlantFrame expressly approves it.
Beta Features may be incomplete, unstable, inaccurate, unavailable, delayed, changed, removed or reset. Beta Features may contain bugs, errors, design issues, missing functionality, security limitations or data-handling limitations.
You acknowledge that beta use is for testing and feedback purposes. You must not rely on Beta Features for critical workflows, irreversible decisions, regulatory compliance, legal obligations, final project records or sole business continuity.
You agree to provide honest feedback where requested and to promptly report bugs, security concerns, incorrect access, data visibility issues or other serious problems you identify during beta use.
12. Fees, billing and payment
You must pay all Fees associated with your Plan and use of PlantFrame.
Fees may be billed monthly, annually or on another basis disclosed at checkout or in your account.
Unless stated otherwise, Fees are in Australian dollars and may be exclusive or inclusive of GST as stated at checkout.
Payments may be processed by third-party payment processors, such as Stripe. By subscribing to a paid Plan, you authorise PlantFrame and its payment processors to charge your payment method for applicable Fees, taxes and recurring subscription charges.
You must ensure that your payment details are accurate, valid and up to date.
If payment fails, we may notify you and attempt to process payment again. If Fees remain unpaid, we may suspend or restrict access to your Account, Workspace or paid features until payment is resolved.
We are not responsible for fees charged by your bank, card issuer or payment provider, including foreign exchange fees, dishonour fees, chargeback fees or other transaction costs.
13. Renewals
Paid subscriptions renew automatically unless cancelled before the renewal date, unless we state otherwise at checkout or in your account.
By subscribing, you authorise recurring billing for the subscription period selected.
The renewal amount will be based on your Plan, billing period, applicable taxes and any disclosed changes to pricing or Plan inclusions.
We may provide renewal reminders where required by law or where we choose to do so.
14. Cancellations
You may cancel your paid subscription through the account billing area, payment portal or by contacting us at support@plantframe.app, subject to the cancellation process made available to you.
Unless stated otherwise or required by law, cancellation will take effect at the end of the current paid billing period. You may continue to access paid features until the end of that billing period, subject to these Terms.
Cancelling your subscription does not automatically delete your Account, Workspace or User Content.
You are responsible for exporting or saving any User Content you need before your subscription ends or before access is restricted.
15. Refunds
Except where required by law, Fees are non-refundable, including for partial billing periods, unused features, unused seats, unused AI Assists, unused Concept Visualisations, inactive projects, account inactivity, failure to cancel before renewal or change of mind.
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, remedy or protection that cannot lawfully be excluded, restricted or modified under the Australian Consumer Law or any other applicable law.
If you believe you are entitled to a refund, remedy or billing correction, please contact us at support@plantframe.app with details of the issue.
16. Price and plan changes
We may change our prices, Plan inclusions, Plan limits or billing arrangements from time to time.
If we change the price of your paid subscription, we will provide notice where required by law or where the change materially affects you.
Price changes will generally apply from your next renewal period unless otherwise stated.
If you do not agree to a price change, you may cancel your subscription before the change takes effect.
We may add, remove, rename, repackage or modify Plans from time to time. We will use reasonable efforts to avoid materially reducing the core functionality of your paid Plan during a paid subscription period, but we do not guarantee that all features, beta features, third-party integrations or AI capabilities will remain available indefinitely.
17. Acceptable use
You must use PlantFrame lawfully, responsibly and in accordance with these Terms.
You must not:
use PlantFrame for unlawful, fraudulent, misleading, harmful, abusive, discriminatory, defamatory, obscene or exploitative purposes;
upload, store, generate, share or transmit content that infringes another person’s rights;
upload malware, malicious code, harmful files, scripts or automated agents;
attempt to gain unauthorised access to any account, workspace, project, portal, system, API, database, server or network;
bypass or attempt to bypass authentication, authorisation, billing, seat limits, usage limits, beta gates, AI limits, rate limits, security controls or technical restrictions;
interfere with or disrupt the Services;
reverse engineer, decompile, copy, scrape, crawl, resell or exploit the Services except as permitted by law;
use PlantFrame to build, train or improve a competing product without our written permission;
misrepresent your identity, role, authority, business, client relationship or affiliation with PlantFrame;
use PlantFrame in a way that could damage our reputation or goodwill;
use PlantFrame to send spam, unlawful marketing messages or unsolicited communications;
upload sensitive personal information unless it is reasonably necessary for your project and you have the right to do so;
use PlantFrame to make automated decisions about individuals in a way that breaches law;
use PlantFrame for high-risk, emergency, safety-critical, legal, medical, engineering, structural, environmental, planning, biosecurity or compliance-critical decisions.
18. Security and responsible reporting
You must not conduct vulnerability scanning, penetration testing, load testing, stress testing, automated security testing, scraping, credential stuffing, denial-of-service testing or similar testing against PlantFrame without our prior written approval.
If you discover or suspect a security vulnerability, cross-workspace access issue, client data exposure, unauthorised access, data leak or serious bug, you must promptly notify us at support@plantframe.app.
You must not publicly disclose, exploit, retain, copy, download, share or misuse any vulnerability, data exposure or unauthorised access.
We may suspend or restrict access if we reasonably suspect a security risk, unauthorised access, compromised credentials, misuse or breach of these Terms.
19. Client Portal and client project pages
PlantFrame may allow Workspace Owners and authorised users to create client-facing project pages or private project websites through the Client Portal.
Client Portal features may include questionnaires, inspiration sharing, site file uploads, project introductions, project progress, plant palettes, material selections, documents, plans, Design Boards, Concept Visualisations, approval requests, comments, review workflows and other project-related information.
You are responsible for:
deciding what to share with Client Portal Users;
ensuring Client Portal User details are accurate;
ensuring invitations are sent to the correct person;
managing client access and permissions;
ensuring content shared through the Client Portal is accurate, appropriate and lawful;
ensuring that any client approval, comment, request or status is interpreted correctly in the context of your own client agreement;
maintaining any separate professional, legal, contractual or project records you require outside PlantFrame.
PlantFrame does not verify that a Client Portal User has authority to approve, reject, comment on or request changes to a project unless we expressly state otherwise.
A portal approval, status, click, comment or response is a workflow record only. It is not automatically a legally binding contract variation, project sign-off, construction approval, planning approval, payment approval or professional instruction unless that effect is created by your separate agreement with your client and applicable law.
20. Questionnaires, briefs and client information
PlantFrame may allow you to send questionnaires, collect client responses, summarise client briefs and store client-provided information.
You are responsible for reviewing all questionnaire responses, summaries and client-provided information before relying on them.
AI-generated questionnaire summaries, brief summaries, debrief summaries and action items may omit information, misunderstand context or contain errors.
You must not rely on PlantFrame as the sole record of client instructions, agreed scope, budget, safety issues, site constraints, planning requirements, contractual approvals or legally significant communications.
21. Onsite tools, notes, audio and debriefs
PlantFrame may include tools for capturing site notes, photos, audio, sketches, plant identifications, observations, debriefs and action items.
You are responsible for obtaining any required consent before recording audio, taking photographs, collecting personal information or uploading site information to PlantFrame.
Audio transcription, AI summaries, action items and site notes are assistive only. They may be inaccurate, incomplete or unsuitable. You must review and correct them before relying on them or sharing them.
You must ensure that onsite content is collected and used lawfully, respectfully and in accordance with your obligations to clients, property owners, workers, contractors and other people present on site.
22. Plants, plant records and horticultural information
PlantFrame may allow you to create, store, import, clip, edit, organise and present plant records, plant palettes, plant lists, plant schedules and related information.
Plant information may be entered by users, imported from third-party sources, clipped from websites, generated or assisted by AI, extracted from images, copied from supplier information, manually edited or otherwise processed through PlantFrame.
PlantFrame does not guarantee that any plant information is accurate, complete, current, botanically correct, taxonomically current, available from suppliers, suitable for a particular site, non-invasive, non-toxic, compliant with biosecurity rules, safe for children or pets, suitable for local climate, suitable for local soil conditions, or appropriate for a specific client or project.
You are responsible for verifying all plant information, including botanical names, common names, plant dimensions, growth habit, climate suitability, water needs, toxicity, weed status, invasive potential, fire risk, biosecurity restrictions, availability, substitution suitability and maintenance requirements.
PlantFrame is not a horticultural authority, nursery supplier, botanical certifier, biosecurity adviser or landscape specification authority.
23. Materials, selections, suppliers and product information
PlantFrame may allow you to create, store, import, clip, organise and present materials, finishes, products, suppliers, selections, pricing notes, approval statuses and related information.
Product, material and supplier information may change over time. PlantFrame does not guarantee that any material, finish, supplier product, price, colour, availability, warranty, lead time, specification, compliance status or suitability is accurate, complete or current.
You are responsible for verifying all material and supplier information directly with the relevant supplier, manufacturer, contractor, consultant or professional adviser before relying on it.
Colour, texture, finish and product appearance may vary between images, screens, samples, production batches, lighting conditions and installed outcomes.
24. Design Boards and Design Canvas
PlantFrame may allow you to create Design Boards or Design Canvas outputs using project content such as plants, materials, inspiration images, site photos, zones, notes, text, uploaded files, branding and visual references.
Design Boards are presentation and workflow tools only. They are not construction drawings, planting plans, landscape plans, technical specifications, contractual documents, engineering documents, planning documents, compliance documents or installation instructions unless you separately create and verify them as such outside PlantFrame.
You are responsible for reviewing and approving all Design Boards before sharing them with clients or third parties.
PlantFrame does not guarantee that Design Boards will be visually accurate, proportionally accurate, botanically accurate, dimensionally accurate, buildable, compliant, commercially available or suitable for a particular project.
25. Concept Visualisations and image tools
PlantFrame may include Concept Visualisations, planting visualisations, image generation, image editing, photo edits, seasonal visualisations, visual mood outputs and other image-based tools.
Concept Visualisations are illustrative only. They may not accurately represent scale, proportion, construction detail, plant maturity, plant habit, seasonal behaviour, material finish, site conditions, climate, light, shadow, maintenance, drainage, accessibility, safety, compliance or budget.
You must not represent Concept Visualisations as guaranteed outcomes, construction-ready drawings, exact design deliverables, regulatory documents, supplier specifications or final installation instructions.
You are responsible for ensuring that any uploaded images, prompts, site photos, client photos, reference images or other visual materials used in Concept Visualisations are lawful to use and do not infringe another person’s rights.
You must review all visual outputs before sharing them with clients or third parties.
26. AI Assists
PlantFrame may include AI Assists for writing, summarising, visualising, organising, classifying, extracting, drafting, plant identification, prompt assistance, project debriefs, questionnaire summaries, action items, client-ready text, Design Boards and Concept Visualisations.
AI Assists may use your prompts, User Content, project information, plant records, material records, uploaded files, photos, questionnaire responses, notes and other context you provide to generate outputs.
AI outputs may be incorrect, incomplete, biased, inconsistent, outdated, unsuitable, infringing, misleading or inappropriate.
You are responsible for:
reviewing all AI outputs;
correcting any errors;
determining whether outputs are suitable for your intended use;
ensuring outputs do not infringe rights or breach confidentiality;
ensuring outputs are not presented as professional advice without your own review;
ensuring outputs are not relied on for legal, safety-critical, construction, planning, compliance, engineering, biosecurity, medical, financial or other high-risk purposes.
PlantFrame does not guarantee the availability, accuracy, originality, lawfulness, suitability or reliability of AI outputs.
We may modify, limit, suspend, remove or replace AI Assists at any time, including due to technical limitations, provider changes, cost controls, safety requirements, legal requirements or misuse.
27. AI usage limits and fair use
Access to AI Assists may be subject to Plan limits, fair use limits, rate limits, image generation limits, token limits, credit limits, monthly limits or other usage controls.
We may change AI usage limits from time to time. Where a change materially affects a paid Plan, we will provide notice where required by law or where reasonably practicable.
We may restrict or suspend AI usage if we reasonably believe your use is excessive, abusive, unlawful, unsafe, technically harmful, inconsistent with your Plan or in breach of these Terms.
Unused AI usage allowances, if any, do not have cash value and do not roll over unless we expressly state otherwise.
28. Uploaded files, plans and documents
PlantFrame may allow you to upload, store, manage, share or review project documents, plans, PDFs, drawings, schedules, images, reports, site files, consultant files and other documents.
You are responsible for ensuring you have the right to upload and share those files.
You are responsible for ensuring uploaded files are accurate, current, complete and appropriate for the intended recipient.
PlantFrame is not a document control system, regulatory approval system, construction certification system or professional recordkeeping system unless we expressly state otherwise in writing.
You should retain your own copies of important files, final deliverables, signed documents, client approvals, contractual documents, tax records, compliance records and professional records outside PlantFrame.
29. Approval workflows
PlantFrame may allow users and Client Portal Users to mark items as approved, awaiting review, changes requested, not requested, draft, shared, hidden or other workflow statuses.
These statuses are provided as workflow aids only.
You are responsible for deciding whether a PlantFrame approval status has any legal, contractual, billing, procurement, construction or project management effect.
You must maintain any formal approval, signing, scope variation, payment or contract process required by your own business, professional obligations or client agreement.
PlantFrame is not responsible for disputes between you and your clients, suppliers, contractors, consultants or collaborators about whether an item was approved, rejected, varied, supplied, installed, paid for or relied upon.
30. Browser extension and web clipper
PlantFrame may offer a browser extension or web clipper that allows users to save plants, materials, inspiration, product references, supplier details, URLs, images, text, metadata or other information from third-party websites into PlantFrame.
You are responsible for ensuring that your use of the browser extension and any clipped content is lawful and does not infringe copyright, trade marks, database rights, contractual restrictions, website terms, supplier rights, privacy rights or other third-party rights.
Clipped content may be inaccurate, incomplete, out of date, subject to third-party rights, unavailable later, changed by the source website or unsuitable for your project.
PlantFrame does not guarantee the accuracy, availability, legality, completeness or currency of third-party content captured through the browser extension.
We may modify, suspend or remove the browser extension at any time, including due to browser store requirements, technical changes, third-party website restrictions, security concerns or legal concerns.
31. Third-party services and integrations
PlantFrame may use or integrate with third-party services, including hosting providers, software platforms, payment processors, email providers, AI providers, analytics providers, browser extension platforms, image processing services, storage providers and other service providers.
Third-party services may be subject to their own terms, privacy policies, service levels, usage limits, outages, changes and restrictions.
We are not responsible for third-party services except to the extent required by law or expressly stated in these Terms.
Your access to some PlantFrame features may depend on third-party services. If a third-party service changes, becomes unavailable, increases pricing, imposes restrictions or stops supporting a relevant feature, we may modify, suspend or remove affected PlantFrame functionality.
32. Communications and emails
We may send you service-related communications, including account notices, invitation emails, client portal emails, questionnaire emails, approval emails, billing notices, security notices, support messages, product updates and legal notices.
Service-related communications are necessary for the operation of PlantFrame and may not include an unsubscribe option where they are not commercial electronic messages.
We may send marketing communications where permitted by law. You may opt out of marketing communications using the unsubscribe link or by contacting us.
You must not use PlantFrame to send unlawful spam or unsolicited commercial electronic messages. You are responsible for ensuring that any client or third-party communications you send through PlantFrame comply with applicable laws, including consent, sender identification and unsubscribe requirements where applicable.
33. User Content ownership
You retain ownership of your User Content, subject to the rights granted to us in these Terms.
You grant PlantFrame a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, transmit, display, format, adapt, analyse and otherwise use User Content as reasonably necessary to:
provide the Services;
operate your Account, Workspace and Client Portal;
generate AI Assists, Design Boards, Concept Visualisations and other outputs you request;
provide support and troubleshooting;
maintain security and prevent misuse;
improve, test and develop the Services, subject to our Privacy Policy;
comply with law.
This licence continues for as long as necessary to provide the Services, comply with law, resolve disputes, maintain backups and enforce these Terms.
34. Your warranties about User Content
You represent and warrant that:
you have the right to upload, store, process, generate, share and use your User Content in PlantFrame;
your User Content does not infringe another person’s Intellectual Property Rights, privacy rights, confidentiality rights or other rights;
your User Content is not unlawful, misleading, harmful, defamatory, discriminatory or abusive;
you have obtained any necessary consents from clients, property owners, staff, contractors, collaborators or other individuals whose personal information, images, voices, property information or content is uploaded to PlantFrame;
your use of User Content in PlantFrame complies with applicable laws and professional obligations.
35. PlantFrame intellectual property
PlantFrame and its licensors own all Intellectual Property Rights in the Services, including the software, platform, workflows, designs, interfaces, layouts, templates, documentation, branding, trade marks, logos, text, graphics, icons, code, systems, databases, AI workflows and other materials created or supplied by PlantFrame.
Except as expressly permitted by these Terms, you must not copy, reproduce, modify, adapt, translate, distribute, sell, license, reverse engineer, decompile, frame, scrape, mirror, create derivative works from or exploit any part of PlantFrame.
You may use PlantFrame-generated templates, exports, boards, project pages and outputs for your own client projects, subject to these Terms, your Plan and any third-party rights in the underlying content.
36. Feedback
If you provide feedback, ideas, suggestions, bug reports, feature requests, comments or other input about PlantFrame, you grant us a worldwide, perpetual, irrevocable, royalty-free licence to use, reproduce, modify, commercialise and incorporate that feedback into PlantFrame without compensation or obligation to you.
You acknowledge that feedback may be used to improve PlantFrame for other users.
37. Templates and example content
PlantFrame may provide templates, sample wording, example project structures, example questionnaires, sample documents, visual layouts, suggested workflows, placeholder content or other guidance.
Templates and examples are provided for convenience only. They are not legal, business, design, horticultural, tax, accounting, planning, compliance or professional advice.
You are responsible for adapting templates and examples to your own business, clients, jurisdiction, professional obligations and project requirements.
38. Confidentiality
Each party may receive confidential information from the other.
You must not disclose PlantFrame’s confidential information except as permitted by these Terms or with our written consent.
PlantFrame will handle your confidential information in accordance with these Terms, our Privacy Policy and applicable law.
Confidential information does not include information that is public, independently developed, lawfully received from another source without restriction or required to be disclosed by law.
39. Privacy
Our collection, use, storage and disclosure of personal information is described in our Privacy Policy.
By using PlantFrame, you acknowledge that we may collect and process personal information about you, your Team Members, Client Portal Users and other individuals whose information is uploaded to or processed through PlantFrame.
You must ensure that you have the right to provide personal information to PlantFrame and that you have given any required privacy notices or obtained any required consents.
You must not upload sensitive personal information unless it is reasonably necessary for your use of PlantFrame and you have the right to do so.
40. Data storage, backups and export
We take reasonable steps to protect and maintain the Services, but we do not guarantee that User Content will never be lost, corrupted, deleted, delayed, unavailable or affected by technical issues.
You are responsible for maintaining your own backups and records of important content, including final client deliverables, contracts, invoices, approvals, files, drawings, schedules and business records.
We may provide export tools or support options, but we do not guarantee that all User Content can be exported in a particular format unless we expressly state otherwise.
41. Account closure and data retention
If your Account or subscription ends, we may retain, restrict, archive, delete or anonymise User Content in accordance with our Privacy Policy, internal retention practices and applicable law.
We may retain certain information where reasonably necessary for legal, tax, accounting, security, fraud prevention, backup, dispute resolution, support or legitimate business purposes.
Client Portal access may end or be restricted if the relevant Workspace subscription ends, the project is archived, the invitation is revoked, the Workspace Owner changes access settings or we suspend access under these Terms.
You should export or save important User Content before cancelling, closing your Account or allowing your subscription to lapse.
42. Service availability
We aim to provide a reliable service, but we do not guarantee that PlantFrame will be uninterrupted, error-free, secure, fast, compatible with every browser or device, or available at all times.
The Services may be unavailable due to maintenance, updates, outages, internet issues, hosting issues, third-party service failures, security incidents, beta instability, technical faults or events beyond our reasonable control.
We may perform maintenance, updates, upgrades or changes from time to time. Where reasonably practicable, we may provide notice of significant planned downtime.
43. Changes to features
PlantFrame is an evolving product. We may add, modify, rename, redesign, limit, suspend, replace or remove features from time to time.
This may include changes to AI Assists, Concept Visualisations, Design Boards, Client Portal features, templates, workflows, plans, integrations, browser extension functionality, data fields, layouts, navigation, pricing pages, product language and beta features.
We will use reasonable care when making material changes to paid core functionality, but we do not guarantee that any specific feature, beta feature, third-party integration, AI provider, layout, workflow or interface will remain available indefinitely.
If a change materially reduces the core functionality of your paid Plan, you may cancel your subscription. Any refund rights will be determined in accordance with these Terms and applicable law.
44. Suspension and termination by us
We may suspend, restrict or terminate your access to PlantFrame if we reasonably believe that:
you have breached these Terms;
you have not paid Fees when due;
your use creates a security, legal, operational, financial or reputational risk;
your Account has been compromised;
you have shared logins or circumvented seat limits;
you have misused beta access;
you have uploaded unlawful or infringing content;
you have attempted unauthorised access;
suspension is required by law or a third-party provider;
continued access would harm PlantFrame, other users, clients or third parties.
Where reasonable and lawful, we may give you notice and an opportunity to remedy the issue before suspension or termination. However, we may act immediately where necessary to protect security, data, users, clients, third parties or the Services.
45. Termination by you
You may stop using PlantFrame at any time.
You may cancel your subscription in accordance with the cancellation process made available to you.
Termination or cancellation does not affect any accrued rights, unpaid Fees, confidentiality obligations, intellectual property rights, liability limitations, indemnities, data retention rights or other clauses intended to survive termination.
46. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any guarantee, condition, warranty, right or remedy that cannot lawfully be excluded, restricted or modified, including under the Australian Consumer Law.
If the Australian Consumer Law or another law applies and permits us to limit our liability, our liability is limited, at our option, to:
in the case of goods, the replacement of the goods, supply of equivalent goods, repair of the goods, payment of the cost of replacing the goods or payment of the cost of repairing the goods; and
in the case of services, the resupply of the services or payment of the cost of having the services supplied again.
This clause does not limit liability where it would be unlawful to do so.
47. Disclaimers
To the maximum extent permitted by law, PlantFrame is provided on an “as is” and “as available” basis.
We do not guarantee that:
PlantFrame will meet all of your needs or expectations;
PlantFrame will be uninterrupted, secure, error-free or compatible with all devices, browsers or systems;
User Content will never be lost, corrupted or delayed;
AI outputs will be accurate, complete, original, lawful or suitable;
Concept Visualisations will represent final outcomes;
plant or material data will be accurate, current or suitable;
third-party services will remain available;
client approvals or portal responses will have legal effect;
any particular feature will remain available indefinitely;
PlantFrame will replace your own professional judgement, systems, advice or recordkeeping.
48. Limitation of liability
To the maximum extent permitted by law, PlantFrame is not liable for any indirect, consequential, special, incidental, exemplary or punitive loss or damage, including loss of profit, loss of revenue, loss of goodwill, loss of opportunity, loss of data, loss of clients, business interruption, reputational damage or professional liability arising out of or in connection with the Services.
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with these Terms or the Services is limited to the greater of:
the Fees paid by you to PlantFrame in the three months before the event giving rise to the claim; or
AUD $100.
This limitation does not apply to liability that cannot lawfully be excluded or limited, including liability for fraud, wilful misconduct or liability under non-excludable consumer guarantees.
49. Your indemnity
To the maximum extent permitted by law, you indemnify PlantFrame and its officers, employees, contractors and service providers against loss, damage, liability, cost or expense arising from:
your breach of these Terms;
your User Content;
your infringement of third-party rights;
your misuse of PlantFrame;
your breach of privacy, confidentiality or consent obligations;
your professional advice, design services, project decisions or client deliverables;
disputes between you and your clients, suppliers, contractors, consultants, Team Members or collaborators;
your unlawful use of third-party content, clipped content, images, supplier data or client information.
Your indemnity is reduced to the extent the loss is caused by PlantFrame’s breach of these Terms, negligence or unlawful conduct.
50. Professional responsibility
You acknowledge that PlantFrame is used in the context of your own professional services.
You remain responsible for:
client engagement terms;
scope of work;
professional advice;
design decisions;
project documentation;
planting plans and plant selection;
material selection;
supplier and contractor coordination;
legal and planning requirements;
safety and site risks;
budget and procurement decisions;
construction documentation;
client approvals and variations;
professional insurance;
recordkeeping.
PlantFrame does not assume responsibility for your professional obligations to clients or third parties.
51. Intellectual property complaints
If you believe content in PlantFrame infringes your Intellectual Property Rights, please contact us at support@plantframe.app with:
your name and contact details;
a description of the rights you claim are infringed;
details of the allegedly infringing content;
enough information for us to locate the content;
a statement that you believe the use is unauthorised.
We may remove, restrict or disable access to content where we reasonably believe it infringes rights or breaches these Terms.
52. Publicity
Unless you ask us not to, we may identify your business as a PlantFrame user in customer lists, pitch materials or investor materials using your business name and logo.
We will not publish a case study, testimonial, detailed project information or client information without your consent.
You may withdraw permission for logo use by contacting us at hello@plantframe.app.
53. Updates to these Terms
We may update these Terms from time to time.
If we make material changes, we will take reasonable steps to notify you, such as by email, in-app notice or posting the updated Terms on our Website.
The updated Terms will apply from the effective date stated in the notice or on the updated Terms.
If you do not agree to updated Terms, you must stop using PlantFrame and may cancel your subscription.
Your continued use of PlantFrame after updated Terms take effect means you accept the updated Terms.
54. Notices
We may give notices to you by email, in-app notification, account message, billing portal message or posting on our Website.
You may give notices to us by email to support@plantframe.app, unless these Terms specify another method.
You are responsible for keeping your contact details up to date.
55. Assignment
You must not assign, transfer or novate your rights or obligations under these Terms without our prior written consent.
We may assign, transfer or novate our rights or obligations under these Terms as part of a business sale, restructure, merger, acquisition, financing, asset transfer or similar transaction, provided this does not materially reduce your rights under these Terms.
56. Force majeure
We are not liable for delay or failure to perform an obligation where caused by events beyond our reasonable control, including internet failures, hosting failures, third-party service failures, cyber incidents, natural disasters, power outages, industrial disputes, government action, pandemic, war, civil unrest or other events beyond our reasonable control.
57. Severability
If any part of these Terms is unlawful, void or unenforceable, that part will be severed to the extent necessary and the remaining parts will continue in effect.
58. No waiver
A failure or delay in enforcing a right under these Terms does not waive that right.
A waiver must be in writing and applies only to the specific matter for which it is given.
59. Entire agreement
These Terms, together with the Privacy Policy, any applicable Beta Tester Agreement, Plan terms and any other terms expressly incorporated by reference, form the entire agreement between you and PlantFrame regarding your use of the Services.
60. Governing law and jurisdiction
These Terms are governed by the laws of Victoria, Australia.
The parties submit to the non-exclusive jurisdiction of the courts of Victoria, Australia and the courts entitled to hear appeals from those courts.

Schedule 1 — Beta Access Terms
This Schedule applies if you access PlantFrame as a beta tester, early access user, trial user, founder user or invited testing participant.
1. Beta purpose
Beta access is provided so PlantFrame can test, improve and refine the Services before or during wider release.
2. Personal access
Unless PlantFrame agrees otherwise in writing, beta access is personal to the approved beta tester or approved Workspace.
You must not share beta access with staff, contractors, collaborators, clients, other designers, agencies, businesses or third parties.
3. Team members during beta
Team-member beta access is not included unless PlantFrame expressly approves it.
If you want another person in your business to test PlantFrame, you must request approval from PlantFrame.
4. Confidentiality
During beta, PlantFrame may include unreleased features, design decisions, pricing, workflows, bugs, roadmap items and other confidential information.
You must not publicly disclose confidential beta information without PlantFrame’s written consent.
You may share general feedback, comments or public-facing experiences where PlantFrame has approved public discussion or where the information is already public.
5. Beta risk
Beta Features may be incomplete, unreliable, unavailable or subject to change.
You must not rely on Beta Features as your sole record, final deliverable, compliance process, document control system or critical business system.
6. Feedback
You agree to provide feedback reasonably requested by PlantFrame, including bug reports, usability feedback, workflow observations and feature comments.
7. Revocation
PlantFrame may suspend, restrict or revoke beta access if you breach these Terms, misuse beta access, share login details, invite unauthorised users, create security risks or no longer meet beta eligibility requirements.
Schedule 2 — AI and Visualisation Terms
This Schedule applies to AI Assists, Concept Visualisations, Design Boards, image tools, summaries, debriefs, plant identification and any other AI-assisted or visual generation tools.
1. Inputs
You are responsible for all prompts, images, files, notes, plant records, material records, client data, project data and other inputs submitted to AI or visualisation tools.
2. Outputs
AI and visual outputs are generated by automated systems and may be inaccurate, incomplete, unsuitable, unexpected or misleading.
You must review all outputs before relying on them or sharing them.
3. No professional advice
AI and visualisation tools do not provide legal, planning, building, engineering, architectural, landscape architectural, horticultural, botanical, biosecurity, accounting, tax, medical, safety or compliance advice.
4. No guaranteed result
Concept Visualisations and visual outputs do not guarantee a final garden outcome, plant growth habit, plant maturity, flowering period, seasonal appearance, material finish, colour accuracy, site performance, construction feasibility or client satisfaction.
5. Third-party providers
AI and visualisation tools may rely on third-party providers. Availability, performance, limits, data handling and outputs may be affected by those providers.
6. Usage restrictions
You must not use AI or visualisation tools to generate unlawful, infringing, misleading, deceptive, harmful, unsafe, discriminatory, abusive, sexually explicit, exploitative, violent or otherwise prohibited content.
Schedule 3 — Client Portal User Terms
This Schedule applies to Client Portal Users.
1. Limited access
You may only access the project, portal or content you have been invited to access.
You must not attempt to access any other project, client file, workspace, studio area or administrative feature.
2. Project information
Project information made available to you through the Client Portal is provided by your designer or their authorised users.
PlantFrame is not responsible for the professional advice, design decisions, pricing, documents, plans, plant selections, material selections or project communications provided by your designer.
3. Approvals and responses
If you approve, reject, comment on or request changes to an item in the Client Portal, that response may be visible to your designer.
Your designer is responsible for explaining whether a portal response has any contractual or project effect.
4. Your uploads
If you upload files, images, inspiration, comments, questionnaire responses or other content, you must ensure you have the right to do so.
You must not upload unlawful, infringing, harmful, misleading, abusive or inappropriate content.
5. Privacy
Your personal information will be handled in accordance with PlantFrame’s Privacy Policy and, where applicable, your designer’s own privacy practices.
Schedule 4 — Support, Diagnostics and Administration
1. Support access
PlantFrame may access account, workspace, project, billing, diagnostic, log and technical information where reasonably necessary to provide support, troubleshoot issues, maintain the Services, investigate security concerns or comply with law.
2. Diagnostic tools
PlantFrame may use diagnostic tools to investigate technical problems, including issues with uploads, project records, permissions, AI features, document persistence, access control, billing sync, email delivery and client portal access.
3. Data minimisation
Where practicable, PlantFrame will limit support access to information reasonably necessary for the relevant support, security or operational purpose.
4. Security incidents
If PlantFrame becomes aware of a suspected data breach or security incident, it will take reasonable steps to investigate and respond in accordance with applicable law and its internal processes.
